Introduction

Welcome to Noisemade. These Terms and Conditions ("Terms") govern your access to and use of the Noisemade platform, website, mobile application, and all related services (collectively referred to as the "Platform"). By accessing or using Noisemade, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

Noisemade is an influencer marketing service marketplace that connects brands with influencers for the purpose of creating and executing marketing campaigns. These Terms apply to all users of the Platform, including brands, influencers, agencies, and visitors.

Definitions

For the purposes of these Terms:

"Platform" refers to the Noisemade website, application, and all associated services.

"User" refers to any individual or entity that accesses or uses the Platform, including brands, influencers, and agencies.

"Brand" refers to any business, company, or individual using the Platform to discover, hire, and manage influencers for marketing purposes.

"Influencer" refers to any individual or content creator using the Platform to offer their services, connect with brands, and monetize their reach.

"Campaign" refers to any marketing project or collaboration agreed upon between a Brand and an Influencer through the Platform.

"Content" refers to any material created by an Influencer as part of a Campaign, including but not limited to photos, videos, blog posts, social media posts, and stories.

"Escrow" refers to the secure payment holding system used by Noisemade to protect both Brands and Influencers during transactions.

Eligibility

To use Noisemade, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction.

Have the legal capacity to enter into binding agreements.

Not be prohibited from using the Platform under any applicable law or regulation.

Provide accurate, complete, and current registration information.

By registering on the Platform, you confirm that you meet all eligibility requirements. Noisemade reserves the right to suspend or terminate any account that does not meet these requirements.

 Account Registration and Security

4.1 To access most features of the Platform, you must create an account. You agree to provide truthful, accurate, and complete information during registration and to keep your account information updated at all times.

4.2 You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify Noisemade immediately of any unauthorised access to or use of your account.

4.3 Noisemade will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

4.4 You may not create more than one account without prior written permission from Noisemade. Duplicate accounts may be suspended or permanently removed.

 Use of the Platform

5.1 Permitted Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may use the Platform to discover influencers, create campaigns, negotiate deals, manage content, and process payments as intended.

5.2 Prohibited Conduct

You agree not to:

Use the Platform for any illegal, fraudulent, or unauthorised purpose.

Post false, misleading, or deceptive information on your profile or in any campaign brief.

Harass, abuse, threaten, or intimidate any other user of the Platform.

Attempt to bypass, disable, or interfere with the security features of the Platform.

Scrape, crawl, or extract data from the Platform without express written consent.

Use the Platform to distribute spam, malware, or any harmful content.

Engage in any conduct that damages the reputation or operations of Noisemade.

Circumvent the Platform by taking deals or payments outside of Noisemade after initial contact was made through the Platform.

Brand Responsibilities

As a Brand on Noisemade, you agree to:

Provide accurate and complete campaign briefs, including clear deliverables, timelines, and compensation details.

Treat influencers professionally and with respect throughout all communications.

Review and approve or reject content within the agreed timeframe specified in the campaign terms.

Make payments through the Platform's escrow system and not attempt to pay influencers directly to avoid Platform fees.

Comply with all applicable advertising laws, including but not limited to proper disclosure of sponsored content as required by regulatory bodies in your jurisdiction.

Not request content that is illegal, discriminatory, defamatory, or in violation of any third party's rights.

Influencer Responsibilities

As an Influencer on Noisemade, you agree to:

Provide accurate information about your audience size, demographics, engagement rates, and platform reach.

Deliver content that meets the agreed campaign brief, quality standards, and deadlines.

Clearly disclose sponsored content to your audience in accordance with applicable advertising standards and regulations, including FTC guidelines and equivalent local regulations.

Not artificially inflate your follower count, engagement, or reach through bots, purchased followers, or any deceptive means.

Retain ownership and responsibility for the content you create, ensuring it does not infringe on any third-party intellectual property rights.

Notify Noisemade promptly if you are unable to fulfil a campaign agreement.

Payments, Fees, and Escrow

8.1 Escrow System

All campaign payments are processed through Noisemade's secure escrow system. Brands fund the escrow at the start of a campaign, and funds are released to the Influencer only upon successful completion and approval of agreed deliverables.

8.2 Platform Fees

Noisemade charges a service fee on transactions processed through the Platform. The applicable fee structure is displayed on the Platform and may be updated from time to time. Continued use of the Platform after a fee change constitutes acceptance of the new fee structure.

8.3 Refunds

Refunds are only processed in accordance with Noisemade's Refund Policy. Generally, funds held in escrow will be returned to the Brand if an Influencer fails to deliver agreed content within the specified timeframe, subject to dispute resolution.

8.4 Taxes

Each user is solely responsible for all taxes, duties, and levies applicable to their earnings or payments made through the Platform. Noisemade does not withhold taxes on behalf of any user unless required by applicable law.

8.5 Payouts

Influencer payouts are processed within 3 to 5 business days following brand approval of deliverables. Noisemade reserves the right to delay payouts pending identity verification or fraud investigations.

Intellectual Property

9.1 All content, trademarks, logos, designs, and materials on the Noisemade Platform are the exclusive property of Noisemade or its licensors and are protected by applicable intellectual property laws.

9.2 Influencers retain ownership of the original content they create. By publishing content through a Campaign on Noisemade, the Influencer grants the Brand a non-exclusive, royalty-free licence to use, share, and repurpose the content for marketing purposes as agreed in the campaign terms.

9.3 You may not reproduce, distribute, modify, or create derivative works of any Noisemade Platform content without express written permission.

Dispute Resolution

10.1 In the event of a dispute between a Brand and an Influencer, both parties agree to first attempt to resolve the matter directly and in good faith.

10.2 If a resolution cannot be reached within 7 days, either party may escalate the dispute to Noisemade's Resolution Team by submitting a formal complaint through the Platform.

10.3 Noisemade will review the dispute, examine all relevant evidence submitted by both parties, and issue a final decision within 14 business days. Noisemade's decision on escrow fund release shall be binding.

10.4 Noisemade is not liable for any losses arising from disputes between users and does not guarantee any particular outcome.

Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Noisemade, you consent to the collection, use, and processing of your personal data as described in our Privacy Policy. Noisemade is committed to protecting your data and complying with applicable data protection laws, including the GDPR where applicable.

Disclaimers and Limitation of Liability

12.1 Noisemade provides the Platform on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, or availability of the Platform.

12.2 Noisemade does not guarantee the quality, performance, or results of any campaign conducted through the Platform.

12.3 To the maximum extent permitted by law, Noisemade shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of revenue, loss of data, or reputational damage.

12.4 Noisemade's total liability to any user for any claim arising under these Terms shall not exceed the total fees paid by that user to Noisemade in the 3 months preceding the claim.

Termination

13.1 Noisemade reserves the right to suspend or permanently terminate any user account at its sole discretion, with or without notice, for violations of these Terms or for conduct that is harmful to other users or the Platform.

13.2 You may terminate your account at any time by contacting Noisemade support. Termination does not relieve you of any outstanding obligations, including payment of fees or completion of active campaigns.

13.3 Upon termination, your right to access and use the Platform ceases immediately. Noisemade may retain certain data as required by law or for legitimate business purposes.

Modifications to Terms

Noisemade reserves the right to update or modify these Terms at any time. We will notify users of material changes via email or a prominent notice on the Platform. Your continued use of the Platform following any such changes constitutes your acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising under these Terms that cannot be resolved through Noisemade's dispute resolution process shall be subject to the exclusive jurisdiction of the courts of Nigeria.
